Terms Governing Esposearch.net and WordPress Projects.

1. Acceptance of These Terms

By accessing or using Esposearch.net, creating an account, submitting a Project requirement, accepting an applicable quotation or Project scope, making an applicable payment, purchasing a digital product or otherwise using a service governed by these Terms, you agree to these Terms and Conditions.

If you act for a company, organization or other legal entity, you represent that you have appropriate authority to act for that entity in connection with the relevant website use, transaction or Project.

If you do not agree to these Terms, you should not proceed with the applicable use, purchase or professional engagement.

2. Company & Website

Esposearch.net is a brand of Esposearch Limited (registered in Kenya). Esposearch operates as a Specialist WordPress Agency.

Professional WordPress Projects may involve internally coordinated Esposearch Experts or other authorized professional capability according to the requirements of the Project. The client relationship and administrative oversight remain with Esposearch unless a separate written arrangement expressly states otherwise.

4. Services & Project Model

Esposearch provides specialist WordPress capability across areas including infrastructure, design and development, SEO, website performance, security, WooCommerce, content and publishing, analytics and conversion, maintenance and troubleshooting, and AI and automation.

Professional work is delivered through custom Projects. Public service pages describe areas of capability but do not by themselves define everything included in a particular client engagement.

5. Project Submission & Review

A client may submit a professional requirement through Start Your Project or another authorized Esposearch channel.

Submission does not automatically mean that Esposearch has accepted the work, approved the scope, agreed a price or guaranteed a delivery date.

Esposearch may review the requirement, ask questions, assess feasibility, identify dependencies, recommend a modified scope, identify suitable professional capability, issue a quotation or decline work that Esposearch does not consider appropriate or feasible.

Where the platform displays a submitted Project as Pending, this may indicate that the requirement is awaiting review.

6. Project Scope

Project scope may be defined through an approved Project description, quotation, proposal, invoice, written confirmation or other applicable Project documentation.

Depending on the Project, the agreed scope may address deliverables, exclusions, technical approach, dependencies, client responsibilities, price, timeline, third-party requirements, testing, review and handover.

Features, services or outcomes that are not included in the approved scope are not automatically part of the Project merely because they appear elsewhere on Esposearch.net.

7. Quotations & Acceptance

A quotation is based on the information reasonably available when it is prepared. Material differences between the information supplied and the actual website, system or requirement may require revised scope, pricing or timing.

A Project becomes commercially binding when the applicable scope, quotation, payment arrangement or other required acceptance step has been completed in the manner agreed for that Project.

Project-specific acceptance requirements may differ according to the nature and complexity of the work.

8. Agency-Managed Experts

The client engages Esposearch as the agency. Esposearch may coordinate Esposearch Experts, professional contributors or other relevant capability internally according to the requirements of the Project.

The client does not automatically enter into a separate professional contract with the individual Expert merely because that Expert contributes to the work.

Esposearch may change or supplement professional assignments where reasonably necessary for capability, availability, continuity, quality, security or Project management.

A named individual is not guaranteed unless a Project-specific agreement expressly provides otherwise.

9. Professional Opportunities

Esposearch may provide a professional pathway through Expert Opportunities and Expert Vetting.

Applying does not guarantee approval. Approval does not guarantee a Project assignment, continuing work, income or a particular volume of opportunities.

Approved professionals may be subject to separate operational, confidentiality, security, quality and professional requirements applicable to their participation.

10. Client Accounts, Registration & Access

Users are responsible for providing accurate registration information and taking reasonable steps to protect their account credentials.

Current account routes include Create Account, Client Login and the Dashboard.

Users should notify Esposearch promptly if they reasonably believe their account has been accessed without authorization.

Esposearch may restrict or close accounts used for fraud, abuse, unlawful conduct, security threats, unauthorized access, serious platform misuse or material violation of these Terms.

11. Client Responsibilities

Where applicable, the client should:

• provide accurate Project and website information;
• provide required content, decisions and approvals within a reasonable time;
• provide legitimate access reasonably required for the work;
• ensure the client has authority to instruct Esposearch in relation to the relevant systems and materials;
• maintain appropriate backups where backup responsibility is not included in the Project;
• disclose important technical constraints or known risks;
• disclose special confidentiality, security or privacy requirements before relevant work begins;
• comply with applicable third-party licenses and platform rules;
• review applicable deliverables and raise relevant concerns within the agreed review process.

12. Website Access & Credentials

Some Projects may require WordPress, hosting, domain, DNS, database, analytics, API, ecommerce or other technical access.

Clients should provide only the level of access reasonably required for the agreed work. Temporary or restricted credentials are preferred where practical.

Passwords, API secrets, banking credentials, payment-provider passwords and complete confidential databases should not be sent through ordinary Live Chat where a safer method is available.

13. Pricing, Payments, Taxes & Currency

Professional Project pricing depends on the actual requirement and may be affected by complexity, website condition, deliverables, integrations, content, third-party systems, technical dependencies, testing and client inputs.

The applicable Project price should be confirmed through the relevant quotation, invoice, approved Project scope or other commercial record.

Payment timing, amount and any applicable payment stages are confirmed through the commercial terms applicable to the particular Project or transaction.

Third-party payment processors, banks or card providers may apply their own verification, processing, banking or currency-conversion requirements and charges.

Applicable taxes may depend on the nature of the transaction and relevant jurisdiction. Nothing in these Terms constitutes tax advice.

14. Third-Party Costs

Projects may depend on domains, hosting, premium themes, premium plugins, APIs, payment gateways, email services, AI platforms, CDNs, SaaS products, licensed media or other third-party services.

Unless expressly included in the approved Project scope, third-party charges are separate from Esposearch professional fees.

Esposearch does not control external provider pricing, licensing, subscription terms or future price changes.

15. Scope Changes & Additional Requirements

Material changes to the approved requirement may require revised deliverables, pricing, dependencies or timing.

Esposearch is not required to perform substantial out-of-scope work without agreement.

Minor corrections or clarifications do not automatically create a separate commercial charge; whether a change is material depends on the Project and the effect of the requested work.

16. Delivery & Timelines

Esposearch aims to deliver professional work within the timeline agreed for the applicable Project.

Delivery can depend on scope, technical complexity, website condition, access, client inputs, content, integrations, third-party systems, testing, approvals and issues discovered during implementation.

Events or failures outside Esposearch’s reasonable control, including significant third-party or infrastructure outages, may also affect timing.

Where a material delay is anticipated, Esposearch should use reasonable efforts to communicate the issue and relevant timeline implications.

17. Client Review & Approvals

Where client review is part of the Project, the client should review relevant deliverables against the approved scope and raise material concerns through the applicable Project process.

Feedback should relate reasonably to the agreed deliverables. New requirements that materially extend the approved work may be treated as a scope change.

If a particular Project specifies a review period or approval procedure, that Project-specific condition may apply.

18. Handover & Project Completion

Handover depends on the approved scope and may include completed deliverables, relevant implementation information, configuration guidance, agreed documentation, files, outstanding dependencies or next-step recommendations.

Completion of a Project does not create permanent responsibility for future hosting changes, plugin changes, third-party outages, future compatibility, security incidents, maintenance or unrelated website changes unless continuing support is separately agreed.

19. Additional or Future Work

New work requested after completion may require a new Project, revised scope, maintenance arrangement or separate quotation, depending on the requirement.

Ongoing support is not automatically included after every Project unless the applicable scope expressly provides for continuing maintenance or support.

20. Digital Products & Downloadable Resources

Esposearch may separately sell digital or downloadable products. These transactions are distinct from professional custom WordPress Projects.

The applicable product page should identify what is included. Unless otherwise stated, digital products are supplied for the purchaser’s permitted use and may not be copied, resold, redistributed or republished beyond the applicable license or permission.

Digital products may contain third-party components or references that remain subject to their own licenses or terms.

21. Affiliate Links & Recommendations

Esposearch may recommend third-party tools, hosting, plugins, software or other products and services through affiliate or referral links where appropriate.

Where applicable, Esposearch may receive compensation from the provider if a qualifying transaction occurs.

The third-party provider remains responsible for its pricing, licensing, availability, billing, product performance, support, privacy practices and warranties.

An affiliate relationship does not create an Esposearch guarantee of the third-party product or service.

22. Cancellations & Refunds

Cancellation or refund eligibility depends on the transaction, Project status, work already performed, digital access already supplied, committed third-party costs, applicable Project-specific terms and rights provided by applicable law.

Project-specific cancellation or refund conditions may apply where expressly agreed.

Nothing in these Terms excludes mandatory refund, cancellation or consumer rights that cannot lawfully be excluded.

23. Intellectual Property

Esposearch retains rights in its brand, website content, reusable frameworks, internal processes, methods, templates, systems, pre-existing materials and general know-how to the extent those rights belong to Esposearch.

Rights in client-specific deliverables depend on the applicable Project terms, agreed scope, payment status where relevant, third-party rights, licenses and applicable law.

WordPress, third-party plugins, themes, fonts, APIs, stock media, SaaS products and other external assets remain subject to their own ownership and licensing terms.

Delivery of a Project does not transfer ownership of materials that Esposearch does not own or is not legally entitled to transfer.

24. Customer Content & Confidentiality

Customer Content does not become Esposearch property merely because it is supplied, uploaded, shared or made accessible for authorized Project work.

Customers must have appropriate authority to provide the materials, systems and information they make available.

Esposearch receives limited permission to access and use Customer Content as reasonably necessary for authorized Project delivery, administration, support, security and applicable legal obligations.

Esposearch should treat non-public Project information as confidential and use it for purposes reasonably connected with the authorized work, management, support, security, administration or legal obligations.

25. Privacy & Data Policies

Personal information, cookies and customer-controlled Project materials are addressed through separate but related Esposearch policies.

These policies supplement these Terms where applicable.

26. Third-Party Platforms, Plugins & Services

Esposearch Projects may rely on WordPress, hosting providers, domains, plugins, themes, APIs, analytics systems, search engines, payment services, SaaS platforms, email services, ecommerce systems, AI providers or other external technology.

Esposearch does not control third-party outages, pricing changes, license terms, feature changes, algorithm updates, provider policies, security incidents, discontinuations or compatibility changes.

Third-party limitations may affect Project scope, timing, functionality or future maintenance.

27. Results & Performance Disclaimer

Esposearch provides professional analysis, implementation, optimization, development, content, maintenance and related WordPress capability, but does not guarantee a particular business or technical outcome unless an express Project-specific commitment states otherwise.

Esposearch does not universally guarantee:

• Google rankings or first-page placement;
• traffic or organic-growth levels;
• leads, conversions, sales, revenue or business growth;
• a particular PageSpeed, GTmetrix or Core Web Vitals score;
• zero downtime;
• permanent compatibility;
• resolution of every technical issue.

Results can be affected by hosting, website condition, competition, search demand, content, algorithms, third-party services, user behavior, technical constraints and market conditions.

28. AI & Automation

AI-assisted tools or automated workflows may produce inaccurate, incomplete, unexpected or contextually unsuitable output.

Important AI-assisted output may require human review before it is relied upon or published.

Esposearch does not guarantee factual accuracy of every AI output, uninterrupted third-party AI availability, permanent provider compatibility or a particular business or financial result from an automated workflow.

29. Security & Website Risk

Security work can reduce risk and strengthen a WordPress environment, but no website, hosting environment or internet-connected system can be guaranteed permanently immune from attack, compromise, misconfiguration, malware, outage or other security event.

Esposearch does not guarantee that security work will make a website permanently “unhackable” or eliminate every future vulnerability.

Clients remain responsible for continuing security practices, credential management, third-party accounts and ongoing maintenance outside the agreed Project scope.

30. Acceptable Use & Project Instructions

Users must not use Esposearch.net or instruct Esposearch to:

• violate applicable law or third-party rights;
• upload, distribute or deploy malicious code;
• facilitate fraud or deceptive activity;
• impersonate another person or organization unlawfully;
• attempt unauthorized system access;
• steal or misuse credentials;
• infringe intellectual-property rights;
• misuse confidential information;
• interfere materially with website systems or users;
• redistribute protected Esposearch digital content without authorization.

Esposearch may refuse instructions that appear to involve unauthorized access, malware, credential theft, fraud, unlawful surveillance, serious rights infringement or other material legal or security concerns.

Esposearch may request evidence that a person has authority to instruct work on a particular website, system or account where appropriate.

31. Limitation of Liability & Mandatory Rights

To the maximum extent permitted by applicable law, Esposearch Limited will not be liable for indirect, incidental, consequential, special or punitive losses arising from use of the website or a professional engagement where such losses may lawfully be excluded.

This may include lost profits, lost rankings, lost business opportunities or losses caused by third-party platforms or services.

Where liability arising from a particular paid service cannot lawfully be excluded, Esposearch’s aggregate liability relating to that service will generally be limited to the amount paid to Esposearch for that specific service, except where applicable law requires otherwise.

32. Indemnity

To the extent permitted by applicable law, you agree to indemnify Esposearch Limited, its officers, employees, contractors and authorized professional contributors against claims, losses or liabilities arising from your unlawful use of the website, serious breach of these Terms, infringement of third-party rights, unauthorized instructions, fraud or materials you provide without appropriate rights or authority.

33. Suspension or Termination

Esposearch may suspend or terminate access, a transaction or professional work for non-payment where applicable, material security concerns, unlawful conduct, fraud, abuse, serious misuse, material breach of these Terms or other substantial operational or legal reasons.

Termination does not automatically eliminate payment obligations for completed work, committed third-party costs or rights and obligations that accrued before termination.

34. Governing Law & Disputes

These Terms are governed by the applicable laws of the Republic of Kenya, without prejudice to mandatory consumer protections or other mandatory rights that may apply in another jurisdiction.

Before formal proceedings, the parties should use reasonable efforts to resolve disputes through good-faith communication.

If a dispute remains unresolved, it may be submitted to a competent court or other legally available dispute-resolution forum having jurisdiction under applicable law.

35. Changes to These Terms & Contact

Esposearch may update these Terms to reflect changes in services, website functionality, technology, commercial practices, internal operations or legal requirements.

The current version will be published on this page with an updated Last Updated date. Esposearch does not promise individual notice for every minor amendment unless applicable law or another binding requirement requires a particular form of notice.
