These Terms govern access to Esposearch.net and the purchase or use of Esposearch WordPress services, AI website services, Custom Projects, Academy offerings and related website features.
Please read these Terms carefully before using the website or purchasing a service.

These Terms form the general legal framework for using Esposearch.net, purchasing a defined service, requesting a Custom Project, accessing Academy offerings and interacting with related website features.
Service-specific scope, accepted quotations, project records and other transaction-specific terms may supplement these general Terms. Where a more specific accepted agreement applies, it should be read together with this page and takes priority to the extent stated in the order-of-precedence clause.
Service Scope Comes First
Only work expressly included in the applicable service, quotation or confirmed project scope is included in the purchase.

Product pages, quotations and accepted project records may contain additional conditions that apply to that transaction.

1. Legal Identity, Registration & Kenyan Base
Esposearch.net is operated by Esposearch Limited, a private limited company incorporated in the Republic of Kenya on 13 May 2021 under the Companies Act, 2015.

The KRA PIN Certificate dated 9 June 2021 records Income Tax – PAYE and Income Tax – Company obligations as active from 13 May 2021. Tax registrations and obligations may change over time in accordance with Kenyan law and KRA requirements.
2. Definitions
In these Terms:
- “Esposearch”, “we”, “us” or “our” means Esposearch Limited and the services operated through Esposearch.net.
- “Customer”, “you” or “user” means a person or organization accessing the website, purchasing a service or requesting a project.
- “Service” means a defined Esposearch service published on the website.
- “Ready-to-Buy Service” means a service with a published scope, price and purchase process.
- “Custom Project” means tailored work requiring requirement review and an individualized scope.
- “Technician” means a technical professional supporting Esposearch service delivery.
- “Deliverables” means the work outputs expressly included in the applicable confirmed scope.
- “Third-Party Service” means hosting, themes, plugins, APIs, payment gateways, AI providers, analytics tools or other technology not owned or controlled by Esposearch.
- “Freelancer” or “Independent Contractor” means a technician, consultant or other service provider engaged by Esposearch under an independent service arrangement rather than a contract of employment, except where applicable law determines otherwise.
3. Eligibility & Authority
You must have the legal capacity to enter into a binding agreement before purchasing services or entering into a Custom Project. If you act for a company, organization, employer or other person, you represent that you have authority to bind that entity to the applicable agreement.
You must provide accurate information and may not use Esposearch for unlawful, deceptive or unauthorized activity.
4. Esposearch Services
Esposearch is a specialist WordPress & AI services agency. WordPress is the primary commercial specialization. Services may include website infrastructure and setup, website design and development, redesign, WooCommerce, SEO, speed and performance, security, maintenance, hosting-related services, migration, troubleshooting, Website Audits, practical AI website implementation, Custom Projects and Academy learning where offered.
Service availability may change. Individual service, product, project or Academy pages may state the applicable scope, deliverables, requirements, exclusions, current price or additional conditions. Those details form part of the agreement for that purchase where applicable.
5. Agency & Technician Model
Esposearch manages the customer relationship, requirement review, scope coordination and service delivery. Technicians may support implementation, but customers are not required to recruit or manage individual technicians themselves.
Esposearch may classify technical capability as Beginner Technician, Intermediate Technician or Expert Technician. Esposearch determines the capability appropriate to the confirmed scope and may reassign or add technical resources where operational or technical circumstances reasonably require it.
Technician classification supports work matching. It is not a guarantee of a particular technical, financial, SEO or commercial result. See Technician Vetting for more context.
6. Freelancer & Independent-Contractor Engagements
Esposearch ordinarily engages technicians and other operational service personnel on a Freelancer / independent-contractor basis under written or otherwise documented service arrangements, rather than as employees under a contract of service, unless Esposearch expressly enters into an employment agreement or applicable law requires a different classification.
The parties to a freelance engagement intend the Freelancer to operate as an independent service provider. A Freelancer is generally responsible for their own tax registration, tax returns, declarations, record-keeping and other personal or business tax obligations arising from income earned through the engagement.
Where Kenyan tax law requires Esposearch to deduct or withhold tax from payments to a Freelancer or other non-employee service provider, Esposearch may deduct the applicable amount, remit it to the Kenya Revenue Authority and provide the relevant tax documentation or withholding certificate where required.
Freelancers are not entitled to employee salary, leave, pension, statutory employment benefits or other employee entitlements merely because they perform services for Esposearch, except where a written employment agreement or applicable law provides otherwise.
7. Customer Accounts
Some website functions may require an account. You must provide accurate account information, keep login credentials confidential and take reasonable steps to prevent unauthorized access. You are responsible for activity carried out through your account to the extent permitted by applicable law.
Notify Esposearch promptly if you reasonably suspect account compromise. Esposearch may restrict or suspend access where reasonably necessary for security, fraud prevention, non-payment, material breach or protection of the website and its users.
Account access is available through Log In and, where required, Registration.
8. Ready-to-Buy Services
Before purchasing a Ready-to-Buy Service, review the current service page carefully. The service page should be treated as the primary source for the current scope, deliverables, requirements, exclusions, price and any service-specific conditions.
A Ready-to-Buy Service is intended for work that reasonably matches the published scope. If your requirement is broader, combines multiple service areas or is unclear, a Custom Project or diagnostic service may be more appropriate.

9. Custom Projects
A Custom Project is appropriate where several services are involved, the requirement is unique, the technical approach needs review or the work does not match a published service.
You should provide enough information for Esposearch to understand the website, problem, desired outcome and material dependencies. Esposearch may request clarification, identify constraints, propose a revised scope, provide a quotation, decline unsuitable or incomplete requests, or recommend another starting route.
Submitting a project request does not by itself require Esposearch to begin work. The binding project scope is based on the accepted quotation, confirmed project details, order record or other mutually accepted written scope.

10. Service Scope
Only work expressly included in the confirmed service or project scope is included. Work that is not stated as included may be excluded, separately quoted or treated as additional work.
If there is uncertainty about whether an item is included, the applicable service description, accepted quotation or confirmed written scope should be checked before work proceeds.
11. Change Requests & Additional Work
A request that adds functionality, changes requirements, introduces additional pages, adds integrations, changes platform assumptions, requires additional troubleshooting or materially expands deliverables may require an additional fee, revised quotation, revised timeline, separate service or new Custom Project.
Esposearch is not required to complete unlimited or unrelated changes within an original fixed price unless those changes are expressly included in the confirmed scope.
12. Quotations & Assumptions
Quotations are based on the information reasonably available when prepared. Materially different requirements, undisclosed dependencies or changed assumptions may require the quotation to be revised.
A quotation may specify its own validity period. Third-party costs such as hosting, licenses, premium plugins, paid themes, APIs or external services are excluded unless expressly stated as included.
13. Prices, Payments & Charges
Prices displayed on Esposearch.net are the prices shown at the time of purchase, subject to correction of obvious errors and applicable law. Esposearch may change prices prospectively. A later price change does not ordinarily alter an already completed purchase unless a lawful and mutually agreed change applies.
Customers must use payment methods made available through the relevant transaction process. Third-party payment providers may apply their own terms, verification requirements, processing times and availability rules. Esposearch does not control every payment-provider decision or outage.
Where applicable, paid work may require successful payment authorization before work begins. You are responsible for accurate billing information and for taxes, duties, currency conversion charges or financial-institution fees that apply to you, except where law requires otherwise.
Where a displayed price is stated as exclusive of tax, applicable tax may be added at checkout or on the invoice. Where a price is stated as tax-inclusive, the transaction record should show the tax treatment required by law.
14. Kenyan Taxation, VAT & Transaction Taxes
Esposearch Limited is registered and based in Kenya and administers its company tax obligations under the tax laws of Kenya. Prices, invoices, checkout amounts and accounting records may therefore include or separately state taxes that Esposearch is legally required to charge, collect, account for, withhold or remit.
Value Added Tax (VAT) and any other applicable sales, consumption or transaction taxes apply where required by Kenyan law. If Esposearch is required to register for or charge VAT on a taxable supply, the applicable VAT treatment will be reflected in the relevant invoice, checkout, receipt or transaction record in accordance with prevailing law and KRA requirements.
The supplied 2021 KRA PIN Certificate does not itself establish a VAT obligation, so these Terms do not represent that Esposearch was VAT-registered solely on the basis of that certificate. VAT registration, rates, thresholds and invoicing requirements are governed by the law and KRA rules in force at the relevant time.
For cross-border transactions, Esposearch will comply with Kenyan tax obligations that apply to the company. A customer may also be responsible for taxes, duties, withholding, import charges, currency charges or other fiscal obligations imposed by the customer’s own jurisdiction or financial institution, unless applicable law places that responsibility on Esposearch.
Customers and Freelancers are responsible for obtaining their own tax advice concerning their individual circumstances. Esposearch does not provide personal tax advice through these Terms.
15. Cancellations, Refunds & Payment Disputes
Cancellation, refund and payment-dispute eligibility depends on the service type, applicable service-specific terms, whether work has started, the amount of work already performed, digital-delivery characteristics and applicable law.
Nothing in these Terms excludes or restricts rights that cannot lawfully be excluded under applicable consumer-protection law. Where a service-specific cancellation or refund term is displayed at purchase, that term should be read together with these Terms.
If you believe a cancellation or refund issue applies to a particular order or project, contact Esposearch promptly and provide the relevant transaction context. Esposearch will review the request against the applicable agreement and law.
16. Delivery, Timelines & Customer Delays
Delivery timing depends on the confirmed scope, technical complexity, customer cooperation, required access, third-party systems and other dependencies. Dates are estimates unless expressly stated as binding in a specific written agreement.
Customer delays in providing information, approvals, content, credentials or other required inputs may affect delivery. Third-party outages, provider changes, unexpected technical dependencies and approved scope changes may also affect timing.
Esposearch does not guarantee uninterrupted delivery or a fixed completion time unless a specific service agreement expressly provides one.
17. Customer Responsibilities
You are responsible for providing accurate and timely information, lawful content, required access and reasonable cooperation. You must have authority to instruct Esposearch to work on the relevant website, account or system.
You should disclose known technical problems, material business requirements and dependencies that may affect the work. You are also responsible for obtaining any third-party permissions or licenses that are your responsibility under the applicable scope.
You should review deliverables within a reasonable period and communicate material concerns using the relevant support or project channel.
18. Website Access, Credentials & Security
Some services may require authorized access to WordPress, hosting, domain or DNS settings, analytics, Search Console, WooCommerce, email, APIs or other third-party systems necessary for the confirmed scope.
You must be authorized to grant that access. Provide only the level of access reasonably required. Do not post passwords, secret keys or sensitive credentials publicly. Temporary credentials should be changed or revoked after completion where appropriate.
Esposearch will use access for the authorized work and related service administration, but no online system can be guaranteed absolutely secure. Review the Privacy Policy and Content Privacy page for related information.
19. Backups & Technical Change Risk
Website changes can carry technical risk. Appropriate backups should exist before significant changes where reasonably necessary. Responsibility for creating or maintaining backups depends on the confirmed service scope.
Do not assume that backup creation, off-site storage or long-term retention is included unless expressly stated. If Esposearch creates a backup as part of a service, that does not create an indefinite backup-storage obligation unless separately agreed.
20. WordPress, Themes, Plugins & Third-Party Software
WordPress websites commonly depend on WordPress core, themes, plugins, hosting, APIs and other external systems. These technologies may be updated, discontinued, restricted or changed by third parties.
Esposearch cannot guarantee permanent compatibility, continued vendor support, future plugin or theme behavior, or uninterrupted availability of third-party systems. Paid licenses remain subject to the relevant vendor terms, and responsibility for purchasing or renewing a license depends on the confirmed scope.
WordPress and many components may be open-source or separately licensed. These Terms do not override applicable open-source or third-party license terms.
21. Hosting, Domains, DNS & Infrastructure
Hosting and infrastructure-related services may rely on third-party providers. Availability, server performance, maintenance events and provider outages can therefore involve factors outside Esposearch’s direct control.
Domain registration, renewal and transfer are subject to registrar and registry rules. DNS changes can require propagation time. You must provide accurate ownership or account information and remain responsible for renewal obligations unless a specific service expressly states otherwise.
Esposearch does not guarantee perfect or uninterrupted uptime unless a separate written service-level commitment expressly applies.
22. Website Migration
Website migration may depend on source and destination hosting access, compatibility, DNS, SSL, file size, databases, email configuration, third-party licenses and other technical factors. You should disclose mission-critical functionality before migration begins.
Esposearch will use reasonable care within the confirmed migration scope but does not guarantee zero downtime unless a specific written agreement expressly provides otherwise. Email migration or unrelated infrastructure work is not included unless stated in scope.
23. SEO Services
Esposearch may provide technical SEO, on-page optimization, indexing support, metadata, internal linking, content optimization and related services. Search engines independently control crawling, indexing, ranking systems and algorithm changes.
SEO performance can depend on competition, domain history, backlinks, website quality, content, market conditions and algorithm changes. SEO services are intended to improve relevant foundations within the confirmed scope, not guarantee a specific commercial outcome.
24. Speed & Performance Services
Performance services aim to improve relevant technical conditions within the confirmed scope. Results can depend on hosting, plugins, themes, scripts, fonts, analytics, advertising, visitor location, third-party resources and testing conditions.
Esposearch does not guarantee a particular PageSpeed, GTmetrix or other testing-tool score, identical results across different tools, or permanent performance levels after third-party or website changes.
25. Security, Malware & Maintenance
Security hardening, malware response, maintenance, updates and backups can reduce risk but cannot guarantee permanent immunity from attacks, malware, vulnerabilities or future compromise.
Security conditions change continuously, including through new vulnerabilities, credential compromise and third-party software changes. Customers remain responsible for appropriate credential hygiene, authorized use and any responsibilities stated in the applicable maintenance or security scope.
26. WooCommerce & E-Commerce
Esposearch may configure or support WooCommerce and related website commerce functionality. The customer remains responsible for operating its business lawfully, including product accuracy, inventory, fulfilment, shipping, tax obligations, consumer-law obligations, buyer refunds and other merchant responsibilities unless expressly agreed otherwise.
Payment processors, shipping providers and commerce integrations are third-party services with their own approval standards, terms, availability and fees. Esposearch does not control merchant-account approval or third-party transaction decisions.
27. AI Website Services
AI website services may include website assistants, workflow automation, lead or customer workflows, content workflows, search or custom integrations. AI systems can produce inaccurate, incomplete, unexpected or contextually unsuitable output.
Esposearch does not guarantee perfect AI accuracy, error-free responses, fully autonomous operation, increased sales, conversion improvements, lead quality or uninterrupted third-party API availability.
AI functionality may rely on third-party providers whose models, pricing, terms, capabilities and availability can change. Such changes may require future adjustment or maintenance outside the original scope.
28. Customer Content & Intellectual Property
You represent that you have the necessary rights or authorization to provide text, images, logos, trademarks, data, files, media, software or other materials used in the work. You must not instruct Esposearch to use unlawful, infringing or unauthorized materials.
You retain ownership of customer-owned content. You grant Esposearch only the permissions reasonably necessary to perform, administer and support the agreed work.
Esposearch Limited and applicable rights holders retain ownership of the Esposearch brand, original site content, documentation, training material, proprietary templates, methods, graphics and pre-existing materials. Nothing in these Terms claims ownership over third-party or open-source components.
29. Ownership & Licensing of Deliverables
Ownership or licensing of project-specific deliverables depends on the applicable service or project agreement, payment status and the rights attached to the materials used.
Customer-provided content, third-party software, open-source components, stock assets, paid themes, plugins, frameworks and Esposearch pre-existing materials may remain subject to separate ownership or license terms. A statement that a customer receives a project deliverable does not automatically transfer rights that Esposearch does not own or is not authorized to transfer.
30. Third-Party Products, Services & Affiliate Links
Esposearch may recommend, configure, integrate or link to third-party services such as hosting providers, domain registrars, themes, plugins, payment providers, analytics systems, email services, SEO tools or AI providers. Third-party terms, privacy practices, pricing and availability apply independently.
Where an external link is an affiliate link, Esposearch may receive a commission if a qualifying purchase is made. Any required affiliate disclosure should be presented where applicable. Recommendations do not guarantee suitability, performance or continued availability of the third-party service.
31. Confidentiality & Privacy
Esposearch will use reasonable care with non-public information provided for service delivery and may share it only where reasonably necessary with authorized personnel, assigned technicians or service providers, where required by law, where the information is already public, or where you authorize disclosure.
This section does not replace the Privacy Policy or Content Privacy page. Those policies provide additional information about personal information and submitted materials.
32. Prohibited Use
You may not use Esposearch or request services for unlawful activity, fraud, unauthorized access, credential theft, malware distribution, infringement, abusive conduct, disruption of systems, unauthorized security testing, misuse of third-party systems or any activity that violates applicable law.
You may not knowingly provide materials you are not authorized to use or instruct Esposearch to circumvent legal, contractual or security restrictions without lawful authority.
33. Esposearch Academy
Esposearch Academy provides educational and professional-development content where offered. Course-specific pricing, access conditions, prerequisites and learning requirements are stated on the relevant course or Academy page.
Academy participation does not guarantee employment, income, customer work, technician classification or assignment eligibility. Learning outcomes vary by participant. Academy content remains subject to applicable intellectual-property and third-party licensing terms.

34. Service Disclaimers & Results
To the extent permitted by applicable law, services are provided according to the confirmed scope and the technical conditions reasonably available at the time of delivery. Websites and third-party systems can experience errors, changes, outages or incompatibilities that are not fully within Esposearch’s control.
Testimonials, examples, case studies or prior results do not guarantee that another customer will achieve the same result. Nothing in these Terms excludes warranties or statutory rights that cannot lawfully be excluded.
35. Limitation of Liability
To the extent permitted by applicable law, Esposearch Limited is not liable for indirect, incidental, special or consequential loss arising from use of the website or services, including loss resulting from third-party failures, lost profits, lost revenue, lost data or business interruption, except where such liability cannot legally be limited or excluded.
Any assessment of liability must take account of the applicable service agreement, the confirmed scope, the nature of the loss and mandatory law. These Terms do not impose an arbitrary monetary liability cap.
36. Customer Indemnity
To the extent permitted by applicable law, you are responsible for claims, losses or reasonable costs arising from unlawful customer-provided content, instructions you were not authorized to give, infringement caused by materials you supplied, or your misuse of deliverables in breach of these Terms or applicable law.
This clause does not require you to indemnify Esposearch for losses caused by Esposearch’s own unlawful conduct or for obligations that applicable law does not permit to be transferred.
37. Suspension & Termination
Esposearch may restrict or suspend access where reasonably necessary because of material breach, fraud, unlawful conduct, non-payment, abuse, security concerns or misuse of Esposearch systems.
Suspension or termination does not automatically cancel obligations or rights that arose before the effective date of suspension. Active paid services or customer property should be handled according to the applicable agreement, payment status and law.
38. Force Majeure
Esposearch is not responsible for delay or failure caused by events reasonably beyond its control, such as major infrastructure or cloud outages, widespread internet failure, natural disasters, war, civil disruption, government action or substantial third-party service interruption.
Where such an event affects delivery, Esposearch will use reasonable efforts to communicate material effects and resume performance when reasonably possible.
39. Third-Party Websites
Esposearch.net may contain links to third-party websites. Esposearch does not control their content, terms, privacy practices, security or availability. You should review the third party’s own terms and policies before relying on or purchasing from them.
40. Complaints, Disputes & Governing Law
If a concern arises, contact Esposearch first and provide enough information for the matter to be reviewed in good faith. The parties should attempt an informal resolution before escalating the dispute where reasonable.
These Terms are governed by the laws of the Republic of Kenya, subject to mandatory consumer rights, jurisdictional protections or other rights that apply and cannot lawfully be excluded by agreement.
Where a dispute cannot be resolved informally, it may be referred to a court or other legally competent forum as required or permitted by applicable law. These Terms do not impose mandatory arbitration unless a separate valid agreement expressly provides otherwise.
41. Changes to Terms & Services
Esposearch may update these Terms prospectively to reflect changes in services, operations, legal requirements, security needs or business practices. The revised version should display an updated date. Where law requires additional notice for material changes, Esposearch will use an appropriate form of notice.
Esposearch may add, modify, replace or discontinue services prospectively. An already accepted paid service or project remains subject to its confirmed scope and applicable agreement unless changed by mutual agreement or law.
42. General Legal Provisions
If a provision of these Terms is found unenforceable, the remaining provisions continue to apply to the extent legally permitted. Failure to enforce a provision immediately does not automatically waive the right to enforce it later.
You may not assign a service agreement in a way that materially changes Esposearch’s obligations without consent where consent is legally permitted to be required. Esposearch may assign rights or obligations as part of a lawful business transfer, restructuring or service-provider arrangement, subject to applicable law.
Order of precedence: where documents conflict, the order is generally: (1) a specifically signed or accepted custom agreement or quotation; (2) service-specific scope or terms; (3) these general Terms; and (4) general marketing copy, unless mandatory law requires otherwise.
Headings are for readability. Electronic communications and records may be used in connection with services where legally permitted. Casual chat messages do not amend a confirmed legal scope unless the change is clearly accepted as part of the applicable service or project record.
